SECTION VI: Officers
VI.1 Number. The principal
elected officers of the Alliance shall be the President, First Vice President, Second Vice President, Treasurer and Recording
Secretary. All other officers such as the Assistant Recording Secretary, Chaplain, Parliamentarian, Financial Secretary and
other officers, with such powers and duties not inconsistent with these Bylaws, may be appointed by the President and ratified
by the Membership of the Executive Board.
VI.2
Election of Officers, Terms of Office. Officers shall be elected at the bi-annual meeting
of the Membership. The Officers shall serve for two-year terms, and they shall be allowed to succeed themselves
if they so desire and in the event they are re-elected.
VI.3 Vacancies. In
case any office becomes vacant by death, resignation, retirement, disqualification, or any other cause, the executive Board
may select an officer to fill such vacancy, and the officer so selected shall hold office and serve until the next succeeding
bi-annual meeting or until the election and qualification of his successor.
VI.4 President. The
President shall be the general administrative head of all the work of the Alliance, and shall be responsible for carrying
out the policies and programs of the Membership. The President shall have the authority to appoint chairpersons
for various committees and programs. The President shall also appoint all non-elected officers with the
subsequent ratification of the Executive Board.
VI.5
First Vice President. The First Vice President shall fulfill the role of President in the
President’s absence. However, the First Vice President will not necessarily succeed to the office
of the presidency, in case it is vacated. It is entirely the prerogative of the Membership to determine
in due process who shall succeed the President in the event the office of the President is vacated.
VI.6 Second Vice President.
The Second Vice President shall fulfill the role of President in the First Vice President or President’s absence.
However, the Second Vice President will not necessarily succeed to the office of the presidency or first vice presidency,
in case it is vacated. It is entirely the prerogative of the Membership to determine in due process who
shall succeed to those offices in the event the office is vacated.
VI.7 Treasurer.
VI.7.1 The Treasurer shall have the custody of all funds, property and securities
of the Alliance, subject to such regulations as may be imposed by the Membership.
VI.7.2 He/she may be required to give bond for the faithful performance of his/her
duties in such sum and with such sureties as the Membership may require.
VI.7.3 When necessary or proper he/she may endorse on behalf of the Alliance for
collection checks, notes and other obligations and shall deposit the same to the credit of the Alliance at such bank or banks
or depository as the Membership may designate.
VI.7.4
He/she shall sign all receipts and vouchers and, together with such other officer or officers, if any, as shall be
designated by the Membership, he/she shall sign all checks of the Alliance, except in cases where the signing and execution
thereof shall be expressly designated by the Membership or by these Bylaws to some other officer or agent of the Alliance.
He/she shall make such payments as may be necessary or proper to be made on behalf of the Alliance.
VI.7.5 He/she shall enter regularly on the books of the Alliance to be kept by
him/her for that purpose full and accurate account of all moneys and obligations received and paid or incurred by him/her
for or on account of the Alliance, and shall exhibit such books at all reasonable times to any Member on application at the
offices of the Alliance.
VI.7.6 He/she
shall, in general, perform all the duties incident to the office of treasurer, subject to the control of the Membership, but
he/she may delegate any of the preceding responsibilities to a designee selected by the Membership.
VI.7.7 He/she shall prepare an annual budget with the consultation of the Executive
Board and Committee Chairs to be submitted to the general active membership for adoption.
VI.8 Financial Secretary
He/She shall record the receipt of all dues and assessments as well as assist the Treasurer in the performance of his/her
duties.
VI.9
Chaplain He/she shall provide for devotional invocation at the start of all meetings and
shall provide spiritual mediation when deemed necessary.
VI.10 Parliamentarian He/she shall
be an expert in parliamentary rules and procedures and shall provide guidance to the Alliance in these matters performing
as an arbiter when necessary.
VI.11
Recording Secretary.
VI.11.1
The Recording Secretary shall have charge of such books, documents and papers as the Membership may determine.
He/she shall be responsible for the recording and keeping of the minutes of all meetings.
VI.11.2 He/she shall keep a record containing the names of all persons who are
Members of the Alliance, showing their respective places of residence, and such book shall be open for inspection as prescribed
by law.
VI.11.3 He/she
may sign with the President, First Vice-President, Second Vice-President or Treasurer in the name and on behalf of the Alliance,
any contracts or agreements authorized by the Membership.
VI.11.4 He/she shall, in general, perform all the duties incident to the office
of secretary, subject to the control of the Membership, and shall do and perform such other duties as may be assigned to him/her
by the Membership.
VI.12 Assistant Recording Secretary
He/she shall assist the Recording Secretary in the performance of their duties and shall
carry out such duties in the absence of the Recording Secretary at meetings of the General Active Membership and the Executive
Board.
